A signed agreement takes precedence for a client project. For a question about this page, contact us.
Acceptance; eligibility
By accessing and using this website, you agree to these Terms. If you do not agree, please do not use the website. A client engagement begins only under an agreed proposal or signed Service Agreement; use of this website alone does not create a client relationship.
Our services; order of precedence
Digital Gateway is an engineering delivery partner for high-throughput software and applied AI solutions, including: solution design and architecture; custom software development; AI agents and voice agents; document AI and data pipelines; platform and integration engineering; launch, support, and end-user training.
Specific engagements are governed by a written statement of work, proposal, or master services agreement ("Service Agreement"). If a Service Agreement conflicts with these website Terms, the Service Agreement prevails for that engagement.
Website license
We grant you a limited, revocable, non-exclusive license to view this website for your own business evaluation purposes. You may not copy, modify, mirror, or redistribute site materials, remove proprietary notices, or attempt to reverse-engineer any software on the site. This license ends automatically on violation.
Client responsibilities
You agree to: (a) provide accurate, complete information and timely feedback reasonably required for delivery; (b) designate a contact person with decision authority; (c) ensure you have all rights necessary in data, systems, and materials you provide to us, and that providing them does not violate any law or third-party right; (d) obtain any consents required for us to process personal information you share (see our Privacy Policy).
Delays caused by missing inputs or decisions extend delivery timelines accordingly.
Fees and payment
Fees, billing cadence, payment deadlines, expenses, and any late-payment terms are set in the applicable Service Agreement or accepted proposal. Website content does not establish a price or payment obligation.
Intellectual property
- Background IP: Each party retains ownership of its pre-existing intellectual property, tools, libraries, and know-how ("Background IP"). Nothing here assigns Background IP.
- Deliverables: Ownership and licensing of project deliverables are set out in the applicable Service Agreement. Our Background IP is not assigned merely because it is used in a project.
- Moral rights: Any waiver or assignment of moral rights is addressed in the applicable Service Agreement.
- Our materials: Our website content, brand, methodologies, and reusable components remain ours.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed in connection with an engagement and marked (or reasonably understood) as confidential, to use it only for the engagement, and to protect it with at least reasonable care. Exclusions: information already public, independently developed, received from a third party without restriction, or required to be disclosed by law (with prompt notice where permitted). Specific confidentiality obligations and survival periods are set in the applicable Service Agreement.
AI-specific terms
- AI systems (including third-party models) can produce inaccurate, incomplete, or biased outputs. We do not warrant that AI-generated outputs are error-free, and we design for human oversight, evaluation, and escalation — final responsibility for decisions made on outputs rests with you.
- You represent that data you provide for AI processing was collected lawfully and that you have the right to share it.
- We do not use your confidential information or personal data to train AI models (see Privacy Policy).
Warranties
We warrant that services will be performed professionally and with reasonable skill and care consistent with industry standards. EXCEPT AS STATED, SERVICES AND SITE MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
Project-specific liability allocation is set in the applicable Service Agreement. To the extent permitted by law, we are not responsible for losses resulting from reliance solely on general website information. Nothing in these Terms limits liability that cannot legally be limited.
Indemnification
Any indemnity for a client engagement is governed by the applicable Service Agreement. This website does not create a project-specific indemnity obligation.
Term and termination
Website access may end as described in §3. Termination rights, notice periods, payment on termination, and surviving obligations for an engagement are governed by the applicable Service Agreement.
Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, pandemics, government actions, large-scale internet or cloud outages), excluding payment obligations.
Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Before litigating, the parties will attempt good-faith negotiation (30 days), then mediation in Vancouver, BC. Failing that, disputes are submitted to the courts of Vancouver, British Columbia, which have exclusive jurisdiction. A Service Agreement may designate a different governing law or forum by mutual written agreement.
Changes to these Terms
We may update these Terms; material changes take effect 30 days after posting on this page with a new effective date (and email notice to active clients). Continued use after the effective date constitutes acceptance.
General
- Severability: if any provision is unenforceable, the rest remain in effect.
- Entire agreement: the applicable Service Agreement governs the engagement and takes precedence over these website Terms where they conflict.
- Assignment: neither party may assign without the other's written consent, except to a successor in a merger or asset sale.
- Notices: website questions may be sent to [email protected]; formal notices under an engagement follow the Service Agreement.
